Morgan Brown heading the Special Membership meeting. Special meeting and therefore is only to discuss the item mentioned in the announcement. No old business Instead we start with appendix A. It was pointed out by members of the populace that we have a potential issue in the bylaws. Currently out Allthing voting is to be done with open ballots (i.e raise hands at elections). Blackspire monarchy would like to change this to close ballots to protect the privacy of the populace. We have been running closed elections for the last several despite our bylaws saying otherwise. We would like to change this now so in the upcoming KLE the Safety officer and Board seats votes will be closed ballots and be in accordance with the by then edited Bylaws - if this passes. Loading (IHH PM) asking about if there any other locations in the bylaws where it is currently written down that we need to use open ballots? -Morgan does not believe so. They then asked about where to find the current language - Its under officers and bylaws 1.3.3.1 for BoD elections and also in policies the safety officer is also mentioned as open ballots. Loading asking if we are adjusting /all/ votes to be closed? - The current vote is the shorthand to try and fix this. But the Corpora committee is currently working on legal compliance so at the moment this is the small change before we do a massive bylaws overhaul. Kayle asked if there is a none hand raise way to do open ballots? - Technically not as the ballots are required to be public at least as written now. Bahamut asking; You(Morgan) might be able to answer mine, do we HAVE to publish them or is it like only if someone asks? Or have them in theory “public”? - Yes we have to according to our Bylaws. Like, votes are all public, but names may be redacted if they opt out of the openness? Does that make sense? That would help our confidence as a populace (I'm 100% confident but I aspire to 130%) - No open ballot means that 'this person voted this way' Kayle then asked if there could be a different change? Perhaps like an in between where on the ballots there could be a 'don't share my name' on the ballots. - Morgan concerned that there were previously no system in how to deal with this. Morgan is trying to make new processes but at the moment we are only voting on making it private votes. Arristilllius is concerned about how we can have meetings like this? - It's a special session meeting due to ORS 65 governing of NPOs that the board can call for. Had to be 7 days in advance. This overrides some of our corpora however ORS laws override our own laws. This is because it affects our voting for the next session. Arrist concerned that this didn't have a two week notice. - But the Emergency (not correct see below) provision allows us to have a 1 week instead if something is vital to the June voting. We were past the deadline so we called this as emergency action. ++ Vlad reminds us that it's a special membership meeting not emergency. There was a one week notice for this meeting to make it compliant with a Special meeting. Unless our bylaws restrict us from having special/emergency meetings we are allowed to have them - which they do not. The reasoning is due to a lot of people value their privacy and the open ballots directly contradict that desire. This is to set up the vote for this for a later election. To have a Special Session meeting requires 20% of the BoD or 5% of voting populace to set up - just need 7 days notice. Bahamut asking for clarification that our prior closed elections were against our Corpora? - Yes they were with the Corpora as written now. Ray saying that we need to change this as if we do not change the wording we would be required to have it open going forward. ORS 65.214 is the section about special membership meeting. Additionally, rules that apply to Allthings to not apply to this meeting. Loading then summarizes that we bring this up now (May) so in June the election will be closed. Because we already have a ballot ready to go this weekend we are trying to simplify this by adding it rather than having a second ballot. Arristilllius; To clarify, just so I am understanding, basically this allows us to vote on the 16th, to continue doing what we have been doing, but now, not be against the rules we didn't previously follow. - Correct. If our policies or bylaws are against federal or state law the Board is required to change it. But open ballots are not against those laws so we could not just change it without an Allthing vote. Arristilllius asks where one would be able to add a proposal to Allthings. Maybe make it something that can be done online? - Ask the KPM or (one of their) deputy about it and then can assist with getting proposals onto the ballots. KPM@blackspire.org. Though adding a button on the website would be helpful. There is a public Allthings documents folder on the website for anyone to view. KPM/Deputies are happy to help edit and refine proposals to be put up as New Business. As well as helping them talk about it at Allthings. There is a template in that public folder for proposals. Loading; What if there isn't really a specific proposal but just a topic that someone feels needs to be brought up to the membership for a conversation that could then be consolidated into a proposal? - Members can bring business up and if it doesn't require a vote it doesn't require the two week notice to be discussed.
