Members of the Kingdom of Blackspire,

Based on feedback and questions raised by members of the populace, the Board of Directors is currently reviewing our organizational status as it relates to statutory membership.

As part of that review, the Board has sought guidance from both the Oregon Secretary of State and our legal counsel regarding the discrepancy between our current filing status and the information our attorney relied on when issuing her moratorium and recommendations. Because that conversation is ongoing, and because there has not yet been enough time to fully review every question with counsel, the Board is placing the recently board-adopted bylaws revision into temporary hold status.

For the general membership meeting tomorrow, we will continue to operate as though Blackspire has statutory members voting on all policies and elections. This is the stricter procedural standard, and the Board believes it is the most cautious and responsible approach while these questions are being reviewed. 

Practically, this means that your ballots will have elections by simple plurality, and any amendments proposed to be voted on will be passed by simple majority. No other changes are applicable to this ballot specifically, and all members who are considered active and dues paid may cast a vote.

Our goal is to have solid, accurate information to present next week once we are able to confer further with counsel. Once that conversation has occurred, we will make the transcript of that meeting or the relevant email chain available to the populace so that everyone has access to the same information.
