The Board would like to provide an update regarding the status of Blackspire's bylaws to clarify information that was previously shared.

At the June Althing at Eternal Glades on 6/6/26, it was announced that the organization would be reverting to an earlier version of the bylaws, after the Board had already voted and adopted the current set of Bylaws, due to some confusion regarding a mismatch in the Secretary of State’s listing of our legal status not having statutory members, and the Board needing time to meet with our counsel to clarify this. After obtaining additional legal advice, the Board has been advised that reverting to a previous version of the bylaws is not an action that can be taken without a vote, and the previously voted changes are considered in effect.

To be clear, the current bylaws remain the governing bylaws of the corporation while the Board completes revisions to the sections addressing statutory members.

Those revisions are necessary because both the Board and legal counsel relied on the Secretary of State's records, which incorrectly reflected that Blackspire did not have statutory members. After further review with the Secretary of State, it was determined that Blackspire's original filing identified the corporation as having statutory members, but the Secretary of State's records did not accurately reflect that filing - the Board will be updating the record with the Secretary of State, who have offered to waive any associated fees as recompense for the mistake in their system. As a result, the Board is hard at work on revisions to the Bylaws to restore the statutory member provisions while leaving the remainder of them unchanged.

Because the previous announcement was made publicly at an Althing, the Board felt it was important to provide this update through the same type of public communication so that everyone has the same information regarding which bylaws are currently in effect.
